SCUBER.PRO TERMS OF SERVICE

1. Acceptance of Terms and Updates

These Terms of Service govern your access to and use of the Scuber.pro website, applications, tools, and related services (the “Platform”). By creating an account, clicking “I Agree,” or using the Platform, you accept these Terms.
Scuber may update these Terms at any time. Updates will be posted on the Platform and will become effective upon posting. If a material change occurs, Scuber will provide reasonable notice. Continuing to use the Platform after changes are posted means you accept the updated Terms.


2. Who We Are and Pilot Summary

Scuber, LLC is a United States based company located in Dallas, Texas. Scuber operates an AI powered home improvement request for quote marketplace that helps homeowners generate concept landscaping ideas and connect with local landscape professionals.

During the US pilot, the Platform is free for homeowners. You can upload front yard photos, receive AI generated concept images, select inspirations, and request to be contacted by matched landscape professionals. Scuber does not provide landscaping services.


3. Eligibility and Geographic Availability

To use the Platform, you must be at least 18 years old and have the legal authority to enter into a contract.

Global users may browse the Platform. Only users who self attest to US residence and provide a valid US address may request project quotes or be connected with professionals. Scuber may perform automated ZIP or address validation. Attempts to bypass geographic gating are prohibited.


4. Account and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You may not create multiple accounts or share an account with others.
Scuber may suspend or terminate your account for violations of these Terms, suspected fraud, risk to the Platform, or inactivity.


5. Service Description (Pilot)

User Inputs

You may upload photos or videos of your front yard, describe style preferences, and provide the project location. You represent that you have all rights to upload these materials.

AI Outputs

The Platform generates “Concept Images,” which are illustrative suggestions only. They are not architectural, engineering, legal, or professional landscaping advice.

Lead Routing

If you request services, you authorize Scuber to share your contact information, uploaded photos, location, and selected Concept Image with matched landscape professionals (each a “Professional”). This allows Professionals to evaluate your project and contact you directly with quotes or next steps.

Payments

Scuber does not collect payments from homeowners during the pilot. There is no escrow, payment processing, or facilitation of financial transactions.
Any Professional fees or payments occur outside the Platform.


6. Communications and Consent

By using the Platform, you consent to receive service related communications, including emails, texts, app notifications, and follow ups from Professionals. You may opt out of marketing communications, but you cannot opt out of essential messages related to your project request.

Standard messaging rates may apply.


7. User Content and License

“User Content” includes all photos, videos, descriptions, and other materials you upload.

You retain ownership of your User Content. You grant Scuber a worldwide, royalty free license to host, store, process, analyze, transform, and create derivative works from your User Content for the purpose of providing and improving the Platform. You also grant Scuber permission to share User Content and Concept Images with Professionals for quoting and project evaluation.

Concept Images are generated outputs. Subject to Scuber’s rights in underlying technology, Scuber grants you a non exclusive license to use the Concept Images for personal non commercial purposes. Concept Images may resemble other users’ outputs, and no exclusivity is provided.

Content Standards

User Content must not:
• Violate any laws or third party rights.
• Contain harmful, unsafe, misleading, or fraudulent material.
• Include images of people without permission.
• Include prohibited or infringing content.

You warrant you have all rights necessary to upload User Content. Scuber may remove or filter content and may suspend accounts for violations.

AI Training Policy

Scuber will not use User Content or Concept Images for model training without separate opt in consent.


8. Professional Terms (High Level)

Professionals are independent businesses, not employees, agents, contractors, or representatives of Scuber.
Scuber is not a party to any contract between you and a Professional. Professionals set their own pricing and scope of work. Your interactions with Professionals are solely between you and them.

Scuber does not guarantee the quality, safety, capability, or performance of any Professional.


9. Prohibited Uses

You agree not to:
• Scrape, crawl, or collect data from the Platform.
• Reverse engineer, copy, or misuse Platform materials.
• Upload harmful code.
• Circumvent geographic restrictions.
• Misuse other users’ or Professionals’ information.
• Interfere with the Platform’s operation.


10. Intellectual Property and Platform License

Scuber owns all rights in the Platform, including software, trademarks, text, images, AI systems, and design.
Scuber grants you a limited, non exclusive, non transferable license to use the Platform for personal purposes under these Terms.
If you provide suggestions or feedback, you give Scuber a perpetual license to use that feedback without obligation.


11. Third Party Services and Links

The Platform may link to third party websites or tools. Scuber is not responsible for third party content or services. Your use of third party services is at your own risk.


12. Disclaimers

The Platform and all Concept Images are provided “AS IS” and “AS AVAILABLE.”
Scuber does not guarantee that Concept Images are accurate, realistic, or suitable for any specific purpose.
Scuber does not provide professional landscaping, design, architectural, or engineering advice.
Your use of AI generated outputs, including any reliance on Concept Images, is at your own risk.


13. Limitation of Liability

To the fullest extent permitted by law, Scuber is not liable for indirect, incidental, special, consequential, or punitive damages.
Scuber’s total liability to you for any claim will not exceed
US $100 or the amount you paid Scuber in the past three months (which is $0 during the pilot), whichever is greater.

These limits do not apply to fraud, willful misconduct, or cases where liability cannot be limited by law.


14. Indemnification

You agree to indemnify and hold Scuber harmless from claims, damages, and expenses arising from:
• Your User Content.
• Your misuse of the Platform.
• Your violation of laws or third party rights.


15. Suspension and Termination

Scuber may suspend or terminate your access for violations, suspected misuse, risk, or inactivity.
Upon termination, your license to use the Platform ends. Scuber may retain User Content for lawful purposes. If feasible, Scuber will provide a way to export your User Content.


16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Texas.

Most disputes must be resolved by binding arbitration under the AAA Consumer Rules, except for small claims matters and claims that cannot legally be arbitrated.

Arbitration will occur in Dallas County, Texas. You waive class actions.
You may opt out of arbitration within 30 days of first accepting these Terms by sending an email to [legal@scuber.pro] with your name and account email.
Any claim must be filed within one year from when it arose.


17. International Users

You may access the Platform from anywhere, but only US residents may request project quotes.
You are responsible for complying with local laws.
Your information may be transferred to the United States as described in the Privacy Policy.


18. App Stores and Device Terms

If you download a mobile version of the Platform, your use is also subject to the terms of the app store provider. Apple and Google are not responsible for Platform performance or support obligations.


19. Copyright Policy (DMCA)

Scuber responds to Digital Millennium Copyright Act notices.
If you believe your copyrighted work has been uploaded without authorization, you may submit a notice to Scuber’s designated agent at [DMCA contact].
Repeat infringers may have accounts terminated.


20. Changes to the Service

Scuber may change, suspend, or discontinue any portion of the Platform. Scuber will not be liable for such changes.


21. Miscellaneous

These Terms are the entire agreement between you and Scuber.
Scuber may assign these Terms. You may not assign them without consent.
If any part of these Terms is invalid, the rest remains in effect.
No waiver is effective unless in writing.
Headings are for convenience only.


Schedule A – Assumptions and Changes from Sample

  1. Ride sharing language removed
     All transportation, driver, trip, telematics, pricing, SOS, and similar features were deleted. The Platform now concerns AI generated landscaping inspiration and lead routing.
  2. US only request gating
     Browsing is global. Submitting a project request requires self attested US residency and a valid US address. ZIP validation is assumed.
  3. Pilot free of charge
     Homeowners pay nothing. No escrow, consumer payments, or fee flows exist during the pilot.
  4. AI training policy
     Assumed default: Scuber will not use User Content or Concept Images for AI training unless the user opts in.
  5. Liability cap
     Liability cap set at the greater of US $100 or fees paid in the last three months. During the pilot, fees paid equals $0.
  6. Dispute venue and arbitration
     Venue: Dallas County, Texas.
    Arbitration: AAA Consumer Rules.
    Opt out permitted within 30 days.
  7. Verification method for US residency
     Minimum requirement: user self attests US residence and provides a US address.
    Optional automated ZIP validation assumed.
